Terms of Service

You need an account to use Klardesk, and you must be at least 18 and using the service for business purposes. Keep your sign-in credentials safe — activity under your account is your responsibility.

A workspace belongs to the business that created it. If you invite teammates to your workspace, you are responsible for what they do in it, including documents they send and payments they approve. Keep your account and workspace information accurate and current — we use it for invoices, tax forms, and important notices.

Klardesk works best when everyone plays fair. You agree not to:

• use the service for anything illegal or fraudulent;
• send documents or payments to mislead, harass, or deceive anyone;
• misrepresent who you are, or sign on someone’s behalf without authority;
• upload content you don’t have the right to use;
• probe, overload, or interfere with the service or other workspaces;
• use Klardesk to pay for goods or services that Stripe prohibits.

We may suspend or close accounts that break these rules. When we can, we will tell you first and give you a chance to fix things.

Klardesk creates electronic signatures and records under the U.S. federal ESIGN Act and state UETA laws. By sending a document through Klardesk, or by signing one, you consent to do business electronically and you agree that electronic signatures, records, and audit trails created through the service are intended to be valid and legally binding — just like ink on paper.

Each completed document comes with an audit trail (who signed, when, and from where). Signers who prefer paper can decline to sign electronically and arrange another method directly with the sender.

One honest note: Klardesk provides the signing technology, not legal review. You are responsible for what your documents say and whether they fit your situation. We are not a law firm and don’t give legal advice.

Contractor payments run on Stripe Connect. Klardesk is not a bank and never holds your money — Stripe, a licensed payment processor, handles all funds movement under its own terms. To pay contractors, your workspace connects a Stripe account, and each contractor completes a short Stripe onboarding that collects their W-9 and bank details.

Klardesk’s own platform fees are few and flat:

• $4 per contractor you pay each month.
• 0.5% platform fee on payout volume. High-volume workspaces can talk to us about volume pricing.

Payment processing passes through at cost, shown simply before you pay: funding by bank (ACH) is 0.8%, capped at $5; funding by card is 2.9% + 30¢. Payouts from a pre-funded balance include standard ACH delivery at no extra charge.

Fees are charged to your workspace — never deducted from your contractor’s payout. Your people receive the full amount you promised them. By initiating a payment, you authorize the related charges and confirm you have the right to pay the recipient.

If you turn on 1099 filing, Klardesk prepares 1099-NEC forms from the payments recorded in your workspace and e-files them through Stripe each January. The service costs $8.99 per form and includes IRS e-filing, state e-filing where required, and delivery of a copy to your contractor.

You stay in charge of the facts: you are responsible for the accuracy of payment amounts, for classifying workers correctly (contractor vs. employee), and for the information your contractors provide on their W-9s. Klardesk is not a tax advisor and does not provide tax advice — for questions about your specific situation, talk to your CPA. (They’ll like the report we generate for them.)

Klardesk plans are billed monthly through Stripe: Free (limited), Sign at $19/month, and Pay at $49/month. Platform fees and 1099 filing fees accrue during the month from your real activity and appear on your next monthly invoice as a few clearly named lines — one invoice, no surprises.

You can upgrade, downgrade, or cancel anytime; changes take effect at the next billing cycle. If prices change, we will give you at least 30 days’ notice before the new price applies to you. You are responsible for any applicable taxes. If an invoice fails to collect, we will retry and let you know before it affects your access.

Your documents, contractor records, and workspace data belong to you. You give us permission to store and process them only as needed to run the service — sending documents, moving payments, filing forms, and generating your reports. How we handle personal information is described in our Privacy Policy.

You can stop using Klardesk and cancel your subscription at any time from your billing settings. Access continues through the end of the paid period. After cancellation, you can export your documents and records for a reasonable window before the workspace is closed.

We may suspend or end access for unpaid invoices or violations of these terms. Fees already incurred (including platform fees and filed 1099s) remain payable. Sections that by their nature should survive — like fees owed, disclaimers, and limitation of liability — survive termination.

Klardesk is provided “as is” and “as available.” We work hard to keep it fast and reliable, but we can’t promise it will be uninterrupted or error-free. Klardesk depends on trusted third-party providers (including Stripe, Supabase, Resend, and Vercel), and their availability is outside our direct control.

Klardesk is not a law firm, bank, accounting firm, or tax advisor. Nothing in the service is legal, financial, or tax advice.

To the fullest extent the law allows, Lightbox Collective LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim related to the service is limited to the amounts you paid Klardesk in the 12 months before the claim arose.

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Texas, and both sides consent to that venue.

We may update these terms as Klardesk grows. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continuing to use Klardesk after a change means you accept the updated terms.
